Mirramail software b. Mirracrypt key service. Software License and Copyright 2.1 All rights, including but not limited to intellectual property rights, in the Mirramail software package and program are owned and remain the exclusive property of Mirrasoft Pty Ltd. 2.2 Mirramail software is licensed on a per user basis but remains the property of Mirrasoft at all times and is protected by copyright law. 2.3 Mirramail software may be distributed on a no cost basis for the purpose of allowing other person/s or organisation/s to register for and gain access to the Mirramail software and Mirracrypt encryption service. 2.4 Other than as allowed by the copyright act, the Client must not modify, sell, de-compile, reverse engineer, create any derivative of the Mirramail software or allow any other person to do so. 2.4 The Client must not alter or remove, or allow the alteration or removal, of any copyright or other intellectual property statements applied to the Mirramail software. Service Provision 3.1 During the Agreement Period providing that the Client: a. remains a customer of Mirramail; and b. pays in advance the Subscription Fees for the Mirracrypt service as agreed upon; Mirrasoft will provide an e-mail encryption service to enable the encryption and decryption of electronic mail messages. 3.2 Mirrasoft will provide software to facilitate the encryption and decryption process and the Client must use the software in accordance with the license agreement and comply with the procedures required for sending and receiving encrypted electronic mail. Price and Payment 4.1 The Client must pay to Mirramail the License and Subscription Fee/s as set by Mirramail plus any applicable government taxes or charges. The Subscription Fee/s and any applicable taxes are due in advance or on commencement of the Agreement Period. Warranties and Liabilities 5.1 Mirrasoft does not warrant that: a. the software or services provided under this agreement will be uninterrupted or error free; or b. the software or services will meet the Client's requirements, other than as expressly set out in this agreement. 5.2 Except where stated to the contrary in this agreement, all warranties whether express, implied, statutory or otherwise are excluded. Where the exclusion, restriction or modification of certain warranties, guarantees, conditions, rights or remedies is prohibited under applicable legislation, then such a term will be taken to be included in this agreement. However, the liability of Mirrasoft for any breach of any such term will be limited, at the sole discretion of Mirramail, to any one or more of the following: a. The supply of the software or service again; or b. Refund of the cost of providing the sofware or service for the remaining period of this agreement, less an administration fee of US$10.00 per user license. 5.3 The Client warrants that, at the time of entering into this agreement, they are not relying on any representation made by Mirrasoft which has not been stated expressly in this agreement, or on any information contained in any other document produced by Mirrasoft, including any brochures, catalogues, publicity material or information available on the Mirrasoft or Mirramail Internet site. Limitation of Liability 6.1 Mirrasoft accepts liability for the supply of the Mirramail software and Mirracrypt encryption service only to the extent outlined in clause 5. 6.2 Mirrasoft accepts liability where: a. The Mirracrypt service is not supplied due to negligence. b. The Mirracrypt encryption service provided does not meet the purpose for which it is supplied. c. It is required to do so by the Trade Practices Act. 6.3 Mirrasoft is not liable, other than as stated above, for any damages including indirect or consequential damages, loss of profits, loss of potential savings, loss of potential earnings or loss of potential business. 6.4 Any liability accepted by Mirrasoft will be limited to one or more of the following at the sole discretion of Mirrasoft: a. The supply of the software or service again; or b. Refund of the cost of providing the software or service for the remaining period of this agreement, less an administration fee of US$10.00 per user license. Termination 7.1 Mirrasoft may immediately terminate this agreement if the Client fails to pay the software license or Subscription Fee/s plus any applicable government taxes and charges when they are due. 7.2 Either party may terminate this agreement by giving 7 days notice in writing to the other party. The unused period of any fee/s paid for the Mirramail software License or Mirracrypt Subscription service is non-refundable. 7.3 On termination or expiry of this agreement, Mirrasoft may delete all Client data including encryption keys from our servers or any other storage media. Governing Law 8.1 This agreement shall be governed by and construed in accordance with the laws of the State of Victoria, Australia.
